أطلقت مصر <a href="https://www.cabinet.gov.eg/conference/pdf/property-policy-document.pdf">وثيقة سياسة ملكية الدولة</a> في 2022 بهدف توسيع مشاركة القطاع الخاص وتقليص ملكية الدولة وإدارتها لعدد من الشركات. بحلول يونيو 2024 كانت الحكومة قد <a href="https://idsc.gov.eg/upload/DocumentLibrary/AttachmentA/10443/2.pdf">حدّدت</a> 41 شركة للتخارج، إما بالبيع الكامل أو الجزئي، أو بزيادة مساهمات القطاع الخاص. إلا أنها طرحت 18 شركة فقط، وأتمّت 13 صفقة، بحصيلة تقارب 5.7 مليار دولار.

<h3 dir="rtl">من المستفيد؟</h3>
في ظل الضغط المتزايد لبيع المزيد من الأصول المملوكة للدولة، تحتاج الحكومة إلى إعادة النظر في منهجية هذا البيع. إذ لا تزال فوائده الاقتصادية طويلة الأجل محل شك. فقد استحوذ <a href="https://idsc.gov.eg/upload/DocumentLibrary/AttachmentA/10443/2.pdf">خمسة مشترون</a> فقط على الأصول المبيعة، التي ذهب 75% منها إلى شركة أبوظبي التنموية القابضة (ADQ) و<a href="https://www.eta.gov.eg/sites/default/files/2024-09/alswdyt.pdf">صندوق الاستثمارات العامة السعودي (PIF)</a>، واللذان استفادا من إعفاءات ضريبية كبيرة، وهو ما يحد من الأثر الإيجابي طويل المدى لهذه الصفقات على الاقتصاد المصري، بعد الضخ النقدي الأولي. وبدلا من سلوك هذا المسار، يمكن للدولة أن تطرح الأصول في البورصة المصرية، أو تلجأ إلى <a href="https://wol.iza.org/uploads/articles/613/pdfs/does-employee-ownership-improve-performance.pdf?v=1">برامج المساهمين</a>، وهي آليات تمكّن الأفراد والجهات من امتلاك حصص في تلك الشركات بدلًا من حصر الملكية في عدد قليل من كبار المستثمرين، وهو ما يساهم في توسيع قاعدة الملكية وتعزيز الشفافية.

In this week&rsquo;s issue, we take stock of Egypt&rsquo;s privatization, in particular the number of buyers, the slowdown and the diversity of what it&rsquo;s selling.

Egypt&rsquo;s privatization drive has taken on fresh urgency after the International Monetary Fund (IMF) <a href="https://www.egypttoday.com/Article/3/142261/IMF-links-Egypt%E2%80%99s-upcoming-disbursements-to-reform-progress#:~:text=In%20addition%2C%20the,Committee%20next%20month.">reportedly</a> <a href="https://www.imf.org/en/News/Articles/2025/09/11/tr-091125-com-regular-press-briefing-september-11-2025">set two conditions</a>&mdash;the sale of state-owned enterprises (SOEs) and the removal of fuel subsidies&mdash;for the disbursement of USD 2.5 billion in loan tranches. So far, the sales of SOEs have been uneven, with a sharp decline in the recent period, raising questions as to why the momentum has slowed and who has benefited from the few deals that have gone through.&nbsp;
<h3 dir="ltr">Tracking progress</h3>
Egypt launched the <a href="https://cabinet.gov.eg/UI/pdf/property-policy-document-eng.pdf">State Ownership Policy</a> (SOP) in 2022 with the purpose of expanding private sector participation and reducing state ownership and management of select enterprises. By June 2024, the government had <a href="https://idsc.gov.eg/upload/DocumentLibrary/AttachmentA/10443/2.pdf">identified</a> a total of 41 unique SOEs for either complete or partial sale, or expansion through private sector contributions. It listed only 18 companies, however, and closed 13 deals, bringing in around USD 5.7 billion.

But the urgency of state divestment from SOEs diminished as Egypt&rsquo;s foreign currency crisis eased with the <a href="https://www.cbe.org.eg/-/media/project/cbe/listing/research/position/external-position-86.pdf">USD 35 billion generated by the Ras Al Hekma</a> deal. The pace of sales has dipped notably in both volume and value since 2022, which saw <a href="https://idsc.gov.eg/upload/DocumentLibrary/AttachmentA/10443/2.pdf">52%</a> of all SOE sales. A key factor, <a href="https://see.news/egypt-reaches-preliminary-agreement-with-imf-to-merge-fifth-sixth-reviews-amid-cautious-privatization-timeline#:~:text=%E2%80%9CIt%20was%20expected,sake%20of%20it.%E2%80%9D">according to the government</a>, was macroeconomic volatility: headline year on year inflation at <a href="https://www.cbe.org.eg/en/economic-research/statistics/inflation-rates/historical-data">38% in September 2023 and </a>&nbsp;a currency devaluation of <a href="https://www.franklintempleton.com/articles/2024/emerging-markets/egypt-bold-moves">38% in March 2024</a> - when the EGP <a href="https://www.cbe.org.eg/en/economic-research/statistics/exchange-rates/historical-data">fell from</a> 30.8 against the USD in February to nearly 49.5 in March - both of which made it difficult to assess fair dollar valuations for SOEs.&nbsp;

<h3 dir="ltr">Architecture of Egypt&rsquo;s state-owned enterprises</h3>
As part of a broader economic restructuring, the government <a href="https://cabinet.gov.eg/UI/pdf/property-policy-document-eng.pdf">committed to reducing its footprint</a> in non-strategic sectors by 2027, employing a tiered framework to classify economic activities as amenable to full exit, partial divestment, or selective expansion, based on factors such as national security or market gaps. Proceeds from the sale of SOEs are intended to support debt reduction and generate foreign currency to meet IMF program targets.

Egypt runs one of the most expansive state enterprise networks in the region, with 709 officially recognized SOEs spread across 18 sectors. Roughly <a href="https://documents1.worldbank.org/curated/en/099041724024017229/pdf/P177105-2063072c-83d8-42d0-877e-7dabd0bc80f0.pdf">72% of these SOEs</a> operate in competitive sectors&mdash;such as retail trade&mdash;a share surpassing many regional peers.

The <a href="https://www.imf.org/en/Publications/CR/Issues/2025/07/15/Arab-Republic-of-Egypt-2025-Article-IV-Consultation-Fourth-Review-Under-the-Extended-568598">estimated 97</a> companies owned by the military, however, are not included in the country&rsquo;s official SOE database. These firms have <a href="https://www.imf.org/en/Publications/CR/Issues/2025/07/15/Arab-Republic-of-Egypt-2025-Article-IV-Consultation-Fourth-Review-Under-the-Extended-568598">continued</a> to expand over the past two years, according to the IMF report, which highlights concerns that they <a href="https://www.imf.org/en/Publications/CR/Issues/2025/07/15/Arab-Republic-of-Egypt-2025-Article-IV-Consultation-Fourth-Review-Under-the-Extended-568598">receive preferential treatment</a>. The IMF report further recommends: &ldquo;The limited progress on divestment and the perception of an increasing role of the military in some economic activities [&hellip;] needs to be corrected to signal a more decisive commitment to supporting private sector-led growth.&rdquo; In April, the government <a href="https://www.reuters.com/world/africa/egypt-offer-stakes-military-owned-companies-via-its-sovereign-wealth-fund-2025-04-09/">announced</a> its intention to list five military-owned enterprises for sale, two of which (Wataniya and Safi) have been earmarked for divestment since 2020, with little tangible progress made toward this goal.

<h3 dir="ltr">Who benefits?</h3>
With the current push for more sales, the government needs to re-assess its divestment strategy. The long-term economic benefit of these sales remains uncertain. Just <a href="https://idsc.gov.eg/upload/DocumentLibrary/AttachmentA/10443/2.pdf">five buyers</a> have acquired the divested assets, with over 75% going to the UAE&rsquo;s Abu Dhabi Developmental Holding Company (ADQ) and <a href="https://www.eta.gov.eg/sites/default/files/2021-07/SAUDI.pdf">Saudi Arabia&rsquo;s Public Investment Fund (PIF</a>). Given the generous tax exemptions these investors enjoy, their growing role in the Egyptian economy yields little revenue beyond the initial cash injection. Alternatively, the government could pursue offerings through the Egyptian Stock Exchange or <a href="https://wol.iza.org/uploads/articles/613/pdfs/does-employee-ownership-improve-performance.pdf?v=1">shareholder schemes</a>, which could spread ownership more widely and enhance transparency.

<h3 dir="ltr">Conclusion</h3>
Egypt&rsquo;s State Ownership Policy, launched in 2022 as part of its IMF-backed reform agenda, has made some progress, but it remains far from achieving its goals. While the government targeted 41 SOEs for action, actual divestment has been limited and uneven, with only a fraction of companies partially or fully sold, mostly to a small group of Gulf buyers. Privatization efforts have also overwhelmingly targeted civilian assets. While officials cite economic volatility and shifting foreign currency needs, the bigger story may lie in what the state is still unwilling to let go of.
