<a href="https://www.skynewsarabia.com/business/1595346-%D9%85%D8%B5%D8%B1-%D8%AA%D8%B9%D9%84%D9%86-%D8%AE%D8%B7%D8%A9-%D9%84%D8%B7%D8%B1%D8%AD-32-%D8%B4%D8%B1%D9%83%D8%A9-%D8%AD%D9%83%D9%88%D9%85%D9%8A%D8%A9-%D8%A7%D9%84%D8%A8%D9%88%D8%B1%D8%B5%D8%A9">أعلن</a>&nbsp;رئيس الوزراء المصري مصطفى مدبولي، الأربعاء 8 فبراير 2023، عن بدء الحكومة تجهيز 32 شركة للطرح سواء من خلال البورصة المصرية أو مستثمر إستراتيجي أو كليهما. وسيتم طرح الأسهم على مدار عام كامل بدءًا من الربع الحالي من عام 2023. وتشمل الشركات المطروحة 18 قطاعًا ونشاطًا اقتصاديًّا مختلفًا، بما فيها شركات قطاع عام، مثل: البنوك، التأمين، الفنادق، البناء، الكهرباء والطاقة، النفط والتعدين، النقل والحاويات، بالإضافة إلى شركتي "صافي" و"وطنية" المملوكتين لجهاز مشروعات الخدمة الوطنية التابع للقوات المسلحة.
ووفقًا للحكومة، فإن الطرح العام في البورصة يأتي بهدف توسيع مشاركة المواطنين المصريين في الملكية العامة، تنفيذًا لتوصيات وثيقة سياسة ملكية الدولة (المعنية أساسًا بتوقف الدولة عن منافسة القطاع الخاص) والتي تم&nbsp;إقرارها في ديسمبر 2022، وجذب&nbsp;الاستثمارات&nbsp;الجديدة التي تساهم بدورها في زيادة الناتج المحلي. ويأتي برنامج الطروحات ضمن خطة تأمين مصادر دخل للموازنة العامة للبلاد، والوفاء بالالتزامات والتعهدات المالية مع المؤسسات الدولية وفي المقدمة منها صندوق النقد الدولي.
<h3 dir="rtl">ماذا يعني الطرح؟ </h3>
تنوي الحكومة القيام بنوعين من عمليات الطرح، أولهما الطرح الخاص، حيث تقوم الشركة بطرح أسهمها لمجموعة خاصة من المستثمرين الاستراتيجيين لشراء حصص محددة من الأسهم، وثانيهما الطرح العام، الذي يتيح للشركة عرض أو طرح أسهمها للجمهور/العامة من المصريين، أو الأجانب المقيمين داخل البلاد للشراء والتداول في البورصة الوطنية. &nbsp;مفهوم الطرح فى البورصة هو بيع جزء من ملكية الشركة للمستثمرين فى سوق الأوراق المالية (السوق الأولى). يتم بعد ذلك التداول على الأسهم المطروحة بيعًا وشراء (السوق الثانوية)، ويطلق عليها البعض "خصخصة جزئية" إذ إنه يختلف عن الخصخصة الكاملة والتى كانت تباع فيها الشركة بالكامل لمستثمر بعينه. قد يكون لهذه الطروحات تأثير ايجابي في أداء البورصة المصرية، ويعزز من دورها كمنصة للتمويل ومصدر من مصادر زيادة احتياطي النقد الأجنبي، إضافة إلى بعض المزايا التي من الممكن أن تستفيد منها الشركات الطارحة لأسهمها كالتوسع في تمويل أنشطتها وزيادة معدلات النمو والإنتاجية، وتعزيز الشفافية والحوكمة والإفصاح الذي يضع أداء الشركات الحكومية تحت رقابة ومتابعة يومية وتقييم دائم لها، مما يحفز أيضًا من قدراتها التنافسية. وتعتبر الطروحات وسيلة استثمارية أو وعاء ادخاري أفضل وأكثر إنتاجية للأفراد والاقتصاد من الادخار في العقار والذهب والأراضي.&nbsp;
<h3 dir="rtl">تخوفات ومخاطر؟</h3>

يأتي إعلان الحكومة استهدافها توسيع قاعدة ملكية القطاع الخاص، مساهمًا في ضعف الطلب على الأسهم المزمع طرحها وبالتالي تكون السوق عرضة لسيطرة عدد قليل من المستثمرين أو الصناديق السيادية، بعد أن أطلق البنك المركزي الشهر الماضي شهادة 25% التي سحبت السيولة من السوق، عبر تحصيلها&nbsp;<a href="https://www.shorouknews.com/news/view.aspx?cdate=29012023&amp;id=09ac9c9c-7393-4184-ac3f-dad15d1ac435">460 مليار جنيه</a>.&nbsp;وتكمن المشكلة الأهم في برنامج الطروحات، بحسب الخبراء، في أن إيرادات بيع الأصول الاستثمارية &ndash; طويلة الأجل &ndash; في القطاعات المختلفة قد تذهب فقط إلى سداد فوائد الديون &ndash; قصيرة الأجل &ndash; إذا لم تدار بشكل أمثل، حيث يتم استخدام مصادر تمويلية حكومية غير متجددة لتمويل نفقات حكومية متجددة ومتزايدة.&nbsp;إضافة إلى التخوفات التي تحيط بعمليات تحديد القيمة العادلة للأسهم المباعة وما يشوبها من غموض وتكتم حتى الآن، فإن الحكومة ستفقد أيضًا موردًا ماليًّا مستقرًّا ومنتظمًا &ndash; متمثلًا في حصتها السنوية من أرباح الشركات &ndash; في مقابل تدفق رأسمالي يحدث لمرة واحدة. وفي حال استحواذ مستثمرين غير مصريين على الحصص، سيتم تحويل العوائد إلى الخارج ما سيضغط بدوره على موازنة النقد الأجنبي.&nbsp;

بما إن برنامج الطروحات أصبح أمرًا حتميًّا، فستظل هناك معايير وخطوات تحتاجها الحكومة لضمان نجاح البرنامج في تحقيق أهدافه رغم التخوفات المحيطة به. وهذه المعايير تشمل:

قال وزير النقل المصري السيد كامل الوزير لمجلس الشعب في 30 يناير، إن&nbsp;<a href="https://www.elbalad.news/5631018" target="_blank" rel="noopener">الخطة</a><a href="https://www.elbalad.news/5631018">&nbsp;</a><a href="https://www.elbalad.news/5631018">الشاملة لتطوير منظومة النقل المصري</a> تتكلف ما يقرب من 2 تريليون جنيه مصري، لينتهي تنفيذ الخطة بنهاية عام 2024. وحصلت منظومتا المترو والجر الكهربائي، والطرق والكباري على النصيب الأعلى من الخطة، بتكلفة تريليون جنيه و530 مليار جنيه تعاقبًا. وجاء استعراض تفاصيل هذه الخطة استجابة لطلبات الإحاطة الصادرة عن مجلس الشعب. ويبدو أنه لم يتم عرض هذه الخطة مرتفعة التكلفة على مجلس الشعب للمناقشة مسبقًا وجاءت على صورة إخطار.
أسئلة وتخوفات حول خطة التطوير

<h2>Offerings of State-Owned Companies: Concerns and Opportunities</h2>
Egyptian Prime Minister Mostafa Madbouly&nbsp;<a href="https://www.reuters.com/markets/deals/egypt-sell-state-stakes-32-firms-over-next-year-2023-02-08/">announced</a>&nbsp;on Wednesday, February 8, 2023, that the government plans to sell stakes in 32 state-owned companies over the next year - starting this quarter - whether through the Egyptian Stock Exchange, a strategic investor, or both. The companies on the block operate in 18 economic sectors, from banking and insurance to hotels and construction, electricity and energy, oil and mining, and transport and containers; stakes in the military-owned firms Safi and Wataniya are also up for sale.
According to the government, the aim of the offerings program is two-fold. On one hand, it seeks to expand the participation of Egyptian citizens in public ownership, in line with the recommendations of the state ownership policy document approved in December 2022. On the other hand, the program is part of a plan to secure revenue streams for the country's general budget and attract new investments that can boost the GDP, thereby fulfilling Egypt&rsquo;s financial commitments to international institutions, most importantly the International Monetary Fund (IMF).
<h3>How will stakes be sold and to whom?</h3>
The government intends to undertake two types of offerings: private placement, where the company offers specific stakes to a private group of strategic investors, and public offerings, in which the firm lists shares on the national stock exchange that can be publicly traded by Egyptians and foreigners residing in the country.
Stake offerings are essentially the sale of part of a company's ownership to investors in the stock market (the primary market); the shares offered are then traded on the secondary market. Although it brings in private investors to public firms, it differs from outright privatization in that the entire company is not sold to a specific investor. These offerings could invigorate the Egyptian Stock Exchange, enhancing its role as a funding platform and a source of hard currency. They also bring benefits to companies offering their shares, giving them the capital they need to expand financing for their activities and increase growth and productivity rates. Moreover, this kind of &lsquo;partial privatization&rsquo; entails more public scrutiny and evaluation of state-owned companies, thus enhancing transparency, governance, and disclosure and stimulating their competitiveness. Public offerings are a better, more productive means of investment for individuals and the economy than savings in real estate, gold, or land.&nbsp;
<h3>Concerns and risks</h3>
There are concerns that the current investment environment is not attractive enough for foreign investors. Egypt still has a problem bringing in foreign exchange, which led to the country's <a href="https://www.moodys.com/research/Moodys-downgrades-Egypts-ratings-to-B3-changes-outlook-to-stable--PR_473012">downgrade</a>&nbsp;by Moody's rating service last week for the first time in 10 years. The agency pointed out that while the renewed momentum for privatization injected by the recent IMF agreement will create more sustainable sources of capital flows, addressing the country's external vulnerabilities (low hard currency reserves, tight liquidity, and a high debt-to-GDP ratio) will take time, while the government's ability to manage the effects on inflation and social stability have yet to be proven.The size of the financing gap in Egypt is about&nbsp;<a href="https://www.imf.org/en/News/Articles/2023/01/10/tr011023-transcript-of-egypt-press-briefing">USD 17 billion</a>&nbsp;over the next 46 months, and Cairo's foreign exchange reserves in January 2023 did not exceed&nbsp;<a href="https://www.investing.com/economic-calendar/egypt-foreign-reserves-(usd)-1322">USD 34.2 billion</a>,&nbsp;which, despite its increase from previous months, is still down by 16.5% compared to January 2022.&nbsp;
The government's announcement that it aims to expand the ownership base of the private sector comes after the CBE last month issued one-year certificates of deposit with an annual yield of 25%. While the government collected some&nbsp;<a href="https://www.businesstodayegypt.com/Article/1/1971/State-owned-banks-secured-EGP460B-through-25-22-5-CDs">EGP 460 billion</a>&nbsp;from the CDs, the certificates withdrew liquidity from the market. This is expected to weaken demand for the coming public offerings and thus leave the market vulnerable to the control of a small number of investors or sovereign funds.
There are additional concerns about the uncertainty and ambiguity of the offerings plan. For example, how will the fair value of the stakes offered be determined? But the most significant problem, according to experts, is that if the process is not managed optimally,&nbsp; the proceeds from the sale of long-term investment assets in different sectors may only go to pay interest on short-term debt, as non-renewable revenue sources are used to finance increasing government expenditures. In other words, the government will lose a stable financial resource &ndash; its annual share of corporate profits &ndash; in exchange for a one-time capital injection. Moreover, if the shares are acquired by non-Egyptian investors, the proceeds will be transferred abroad, which in turn will put pressure on the foreign exchange balance.
<h3 dir="ltr" style="text-align: justify;">What is missing from the program?</h3>
While the offerings program has become imperative, the government must follow through with specific standards and steps to ensure its success and address concerns. These measures include:

Provide trading details, asset valuations, and the size of stakes to be offered;

</li>

Ensuring that all stakes are subject to the same domestically and internationally accepted standards of disclosure and accounting;

Clarifying the target plan for expansion and revenue development for each company;
</li>
<li dir="ltr" aria-level="1">
Clarifying the conditions binding on investors to preserve the rights of workers at these companies and the rights of small investors;

Disclosing plans for the use of the proceeds from the offerings to restructure and develop companies; proceeds should not be used solely to finance the budget deficit and the growing financing gap;

<h2>Egypt Pursues EGP 2 Trillion Plan to Develop the National Transport System</h2>
Egyptian Minister of Transport Kamel Al-Wazir told parliament on January 30, 2023, that a&nbsp;<a href="https://enterprise.press/stories/2023/01/31/transport-minister-defends-spending-on-talgo-trains-rail-infrastructure-94979/">comprehensive plan</a>&nbsp;has been put in place to develop the Egyptian transport system at a cost of approximately EGP 2 trillion, with implementation scheduled to conclude in 2024. The lion&rsquo;s share of the plan&rsquo;s budget is allocated to upgrading the metro and electric traction systems (EGP1 trillion) and roads and bridges (EGP 530 billion). The details of the plan were disclosed in response to an official parliamentary request for information on a variety of transport-related issues. It appears that the costly plan was not presented to the parliament for discussion prior to finalization.
<h3>Concerns and questions about the plan</h3>

Although government spending on infrastructure generally increases GDP, it is still vital that such infrastructure offers a clear social and economic return. When it comes to inter-city mobility and transit, it is essential that development plans are inclusive of all socioeconomic strata and respond to their needs, ensuring that the&nbsp;<a href="https://aps.aucegypt.edu/en/articles/608/new-roads-bad-connections-how-new-road-projects-impact-the-right-to-the-city">right to the city</a>&nbsp;is guaranteed through just and equal development.
In order to determine the desired economic and social returns, the plan should be presented to a variety of stakeholders for consultation and input on priorities, especially given the current economic crisis. Housing and urban researcher, Yahya Shawkat, has stressed that&nbsp;<a href="https://aps.aucegypt.edu/en/articles/456/cairos-new-roads-an-assault-on-pedestrians-and-mass-transit">democratizing the decision-making</a>&nbsp;process by including all the relevant stakeholders will enable the government to develop effective public policies that improve the efficiency of the public transport system. Although infrastructure spending may boost GDP, growth alone is not an accurate indicator for measuring economic performance, but only the size of the local economy &ndash; in other words, it measures quantity, not quality. A broader vision, supported by a democratic, participatory decision-making process, would consider the social and environmental aspects of transport infrastructure in addition to its economic impact. In turn, this allows for the formulation of more inclusive, equitable development plans that have positive, tangible results on the individual level, especially for the most vulnerable groups.
